By clicking "I Agree," creating an account, submitting information, or otherwise accessing or using the Strata Marketplace (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").
1. The Network. Strata operates a private marketplace that connects owners, brokers, developers, lenders, and other participants involved in residential investment real estate transactions ("Sellers") with prospective purchasers and capital providers ("Buyers"). Access is provided through user accounts and submissions made through the Platform.
2. Confidentiality of Deal Information. Information regarding properties, portfolios, pricing, owners, counterparties, financial information, and other non-public transaction details made available through the Platform ("Deal Information") is confidential. You agree to: (a) use Deal Information solely to evaluate a potential transaction through Strata; (b) not disclose Deal Information to any third party except employees, partners, lenders, attorneys, accountants, or other professional advisors who have a legitimate need to know and are bound by confidentiality obligations at least as protective as these Terms; and (c) not contact any Seller, Buyer, property owner, or other counterparty directly, or otherwise circumvent Strata in connection with any opportunity introduced through the Platform. Unless otherwise agreed in writing, these confidentiality obligations apply to all Deal Information exchanged through the Platform and survive termination of your account. Strata reserves all rights and remedies available at law or in equity for any unauthorized disclosure, misuse of Deal Information, or circumvention of the Platform.
3. Platform Services and Professional Representation. Strata's marketplace is designed to facilitate the discovery of investment opportunities by matching Buyers and Sellers based on their stated criteria. Information provided through the Platform is for informational purposes only and does not constitute legal, tax, accounting, investment, brokerage, or other professional advice. Buyers and Sellers are solely responsible for conducting their own due diligence, underwriting, negotiations, and consulting their own professional advisors. If Strata or one of its affiliated brokers is engaged to represent a party in a transaction, that brokerage relationship will be governed exclusively by a separate written agreement. Match results, compatibility scores, buyer counts, and similar information are informational only and do not guarantee buyer interest, negotiations, financing, or the completion of any transaction.
4. Accuracy of Information. You represent and warrant that all information you submit to the Platform—including acquisition criteria, property information, financial information, ownership information, and contact information—is true, accurate, complete, and current to the best of your knowledge. You further represent that you are authorized to submit such information and act on behalf of any individual or entity identified in your submission. You agree to promptly update any material changes to information previously submitted.
5. Communications. By creating an account, submitting information, or using the Platform, you consent to receive communications from Strata by email, telephone, and, where applicable, text message regarding your account, submissions, matching opportunities, and transactions. Text messaging, where offered, is governed by the consent language presented at opt-in. You may opt out of text messages at any time by replying STOP.
6. Fees. Use of the Platform's intake, profile creation, and matching services is currently provided at no charge unless otherwise stated. Any brokerage commissions, referral fees, transaction fees, consulting fees, or other compensation associated with a transaction will be governed solely by separate written agreements.
7. Account Suspension and Termination. You may discontinue use of the Platform at any time. Strata may suspend, restrict, or terminate your access to the Platform, with or without notice, if Strata reasonably believes you have violated these Terms, misused the Platform, submitted false or misleading information, improperly disclosed confidential Deal Information, attempted to circumvent Strata, engaged in fraudulent or unlawful activity, or otherwise created legal or business risk for Strata or other users. Termination of your account does not affect any obligations that by their nature survive termination, including confidentiality obligations, restrictions on circumvention, payment obligations, ownership rights, limitation of liability provisions, indemnification obligations, and dispute resolution provisions.
8. Disclaimer of Warranties and Limitation of Liability. The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Strata disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, uninterrupted availability, and error-free operation. Strata does not verify or guarantee the accuracy, completeness, reliability, ownership, financial information, property condition, availability of Buyers or Sellers, match recommendations, compatibility scores, or the completion of any transaction. To the fullest extent permitted by law, Strata's total aggregate liability arising out of or relating to these Terms or the Platform shall not exceed the greater of Five Hundred Dollars (US $500) or the fees paid by the claimant solely for access to or use of the Platform during the twelve (12) months preceding the claim. Brokerage commissions, referral fees, transaction commissions, and any other compensation paid in connection with a real estate transaction are excluded from this calculation. In no event shall either party be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, lost business opportunities, loss of goodwill, loss of data, or diminution in value, even if advised of the possibility of such damages. Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, or any liability that cannot legally be limited or excluded.
9. License to Use the Platform. Subject to these Terms, Strata grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for legitimate business purposes related to evaluating or marketing investment real estate opportunities. No ownership rights in the Platform, software, or content are transferred to you.
10. Acceptable Use. You agree not to: provide false or misleading information; impersonate another person or entity; interfere with or disrupt the Platform; scrape, copy, harvest, or systematically collect data from the Platform; reverse engineer or attempt to access the Platform's source code; upload malicious software or harmful code; use the Platform for any unlawful purpose; or circumvent Strata in connection with opportunities introduced through the Platform.
11. Intellectual Property. The Platform, including its software, design, trademarks, logos, content, matching methodology, and related intellectual property, is owned by Strata or its licensors and is protected by applicable intellectual property laws. Except as expressly permitted by these Terms, no portion of the Platform may be copied, reproduced, modified, distributed, or used without Strata's prior written consent.
12. Indemnification. You agree to defend, indemnify, and hold harmless Strata, its affiliates, officers, directors, employees, brokers, agents, representatives, successors, and assigns from and against any claims, liabilities, damages, losses, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Platform; information or materials you submit; your violation of these Terms; your violation of applicable law; or your infringement of any third-party rights.
13. Privacy. Your use of the Platform is also governed by Strata's Privacy Policy, which is incorporated into these Terms by reference.
14. Governing Law and Venue. These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law principles. Any legal action arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in North Carolina, and each party irrevocably consents to the jurisdiction and venue of those courts.
15. General Provisions. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Strata's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right. These Terms constitute the entire agreement between you and Strata regarding the Platform and supersede all prior or contemporaneous discussions, communications, or understandings relating to the Platform. Strata may assign these Terms in connection with a merger, acquisition, sale of assets, financing, or other corporate transaction. You may not assign or transfer your rights or obligations under these Terms without Strata's prior written consent.
16. Changes to These Terms. Strata may revise these Terms from time to time. Updated Terms become effective upon posting to the Platform or upon other reasonable notice. Your continued use of the Platform after the effective date of any revision constitutes your acceptance of the updated Terms.
